These Terms of Service ("Terms") govern your access to and use of the websites, applications, and event-planning tools (together, the "Service") provided by CLUDIGO LLC ("Cludigo," "we," "us," or "our"). By purchasing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are

2. The Service
Cludigo provides online, digital event-planning software for personal celebrations including weddings, baby showers, milestone birthdays, and quinceañeras. Features may include guest-list management, budget tracking, seating charts, vendor checklists, countdowns, RSVP links, and printable or exportable documents. The specific features available to you depend on the plan you purchase.
3. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. You are responsible for all activity that occurs under your account.
4. Plans, pricing, and payment
Cludigo plans are sold as one-time purchases. Prices are shown in U.S. dollars and are displayed at checkout before you pay. We do not charge recurring or subscription fees for a plan unless expressly stated at the point of sale. Payments are processed by third-party payment providers; by purchasing, you also agree to the applicable payment provider's terms. You authorize us and our payment providers to charge the amount shown for your selected plan.
5. Digital delivery
The Service is delivered digitally and access is typically provisioned immediately after your payment is confirmed. No physical product is shipped. See our Delivery Policy for details.
6. Refunds
Refund eligibility is described in our Refund Policy, which forms part of these Terms.
7. Acceptable use
You agree to use the Service only for lawful personal event-planning purposes and in accordance with our Acceptable Use Policy. You may not misuse the Service, attempt to disrupt it, reverse-engineer it, resell it without authorization, or use it to store or transmit unlawful content.
8. Your content
You retain ownership of the information you enter into the Service, such as guest names, budgets, and notes ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you. You are responsible for having the right to share any personal information about third parties (for example, your guests) that you enter, and for complying with applicable privacy laws when doing so.
9. Intellectual property
The Service, including its software, design, templates, and branding, is owned by CLUDIGO LLC and protected by intellectual-property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.
10. Third-party services
The Service may link to or rely on third-party services (such as payment processors). We are not responsible for the content, policies, or practices of third parties.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements. Cludigo is an organizational tool and does not provide professional event-planning, financial, or legal advice.
12. Limitation of liability
To the maximum extent permitted by law, CLUDIGO LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the plan giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless CLUDIGO LLC from any claims, damages, or expenses arising from your misuse of the Service or your violation of these Terms.
14. Termination
We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that could cause harm or legal liability. You may stop using the Service at any time.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in New Mexico.
